Quarterly Report

Management's Discussion and Analysis Results of Operations and Financial Condition
The Company had no revenues in 2004 and 2003. The Company incurred $1,402,113 general and administrative expenses for the three months ended June 30, 2004 as compared with $9,586 for the same period in 2003. General and administrative expenses include $1,318,695 for contracted services from the issuance of common stock during the three months ended June 30, 2004.

The Company had a net loss after taxes of ($27,690,097), or $1.14 per share), for the six months ended June 30, 2004; as compared with a net loss after income taxes of ($8,540, or $0.001 per share), for the same period in 2003. General and administrative expenses include $27,647,209 for contracted services incurred from issuance of common stock to outside consultants, certain officers, and board members during the six months ended June 30, 2004.

The Company had $137,461 of cash or cash equivalents at June 30, 2004.

CONTROLS AND PROCEDURES

Disclosure Controls and Procedures. The Company's management, with the participation of the Company's Chief Executive Officer and Chief Financial Officer, has evaluated the effectiveness of the Company's disclosure controls and procedures (as such term is defined in Rules 13a-15(e) and 15d-15(e) under the Securities Exchange Act of 1934, as amended (the "Exchange Act")) as of the end of the period covered by this report. Based on such evaluation, the Company's Chief Executive Officer and Chief Financial Officer have concluded that, as of the end of such period, the Company's disclosure controls and procedures are effective in recording, processing, summarizing and reporting, on a timely basis, information required to be disclosed by the Company in the reports that it files or submits under the Exchange Act.

Internal Control Over Financial Reporting. There have not been any changes in the Company's internal control over financial reporting (as such term is defined in Rules 13a-15(f) and 15d-15(f) under the Exchange Act) during the fiscal quarter to which this report relates that have materially affected, or are reasonably likely to materially affect, the Company's internal control over financial reporting.
